What We Need
- We are looking for a General Counsel to oversee the legal aspects of our business.
- We are currently undergoing rapid geographic expansion and will soon be operating across many different jurisdictions.
- You will report directly to the CEO and will provide on-going advice to the leadership team in support of PlaceHolder's operations and growth strategy.
- You will support the company's governance, risk management and compliance practices.
- You will identify, quantify, communicate and, where possible, mitigate any risks to the business.
What You Will Do
- Provide strategic advice to the leadership team to support the development and implementation of PlaceHolder's strategy and associated initiatives.
- Provide practical legal and business advice in respect of matters involving software development, technology licensing, cloud computing, IT security, commercial finance, payments, correspondent banking, corporate law, and privacy regulations,
- Handle all corporate legal processes (e.g. intellectual property, securities offerings, compliance issues, transactions, agreements, lawsuits, patents)
- Ensure that the company is in compliance with applicable laws across multiple jurisdictions
- Draft and negotiate legal agreements in connection with a variety of complex transactions.
- Advise on existing contractual arrangements and questions of contract interpretation.
- Manage external legal counsel expenditures and develop outside legal counsel relationships
- Oversee major legal projects, including those related to significant organizational initiatives
- Draft resolutions and annual proceedings for Board approval, compliance, and minute book completeness.
- Provide counsel to HR personnel regarding employment law matters and applicable legislation.
What You Bring To The Role
- 5+ years of experience
- Must have experience in a senior legal position at a startup (tech or similar)
- Experience managing regulations across multiple geographies
- Law degree
- Member in good standing of local law society
- Overall broad legal knowledge (corporate law, litigations, labor law, etc)
- In-depth understanding of how legal issues affect organisations
- Ability to develop legal strategy and objectives
- High degree of professional ethics and integrity
- Excellent judgement and analytical skills
- First-class interpersonal and communication skills
- Ability to anticipate legal issues or risks

- Remote-first: The role is remote-first, as is our entire company. In general, the current team is located mostly in Toronto, Calgary, and Vancouver, and in those cities, there are opportunities to meet and work together if desired.
- Hours: We prioritize results over "face-time". That said, our work is dependent on business needs across multiple time zones. You should expect to be centered on weekday business hours and, depending on circumstances, you may work occasional evenings or weekend days. We value healthy balance, but a willingness to adapt is a requirement of our early stage
